All monies, liabilities and obligations due or to become due from the company to any one or more of the secured parties under any transaction document of any of its obligations under the tranche 1 facility agreement or any of the other transaction documents (all terms as defined)
Short particulars
In the deed the chargor charged in favour of the security agent by way of an effective first-ranking fixed charge over the account property (h) and by way of an effective first-ranking security over the property (the assigned property, I.E.(a)-(k) wherever the same may be situate, and under and so far as effective under all applicable laws, all of the respective right, title and interest (present and future and including, without limitation, the right to receive any moneys and indemnities thereunder or in respect thereof) of the chargor in, to or under (a) the vessel performance and make whole guarantee; (b) the vessel vt guarantee; (c) the vessel sale agreement; (d) the shipbuilding contract; (e) the interest rate swap; (f) the capital subscription agreement; (g) the supporting l/cs in favour of vtma; (h) the account property, including, in each case all rights to require, enforce and compel performance of all the provisions of such documents referred to in (a) to (h) and otherwise to exercise all claims, rights and remedies thereunder, to give and receive notices, reports, requests and consents, to make demands, to exercise discretions options and elections thereunder and to take all other action thereunder, pursuant thereto or in connection therewith (I) the vessel project receivables; (j) the proceeds of the insurances (other than third party liability insurance), including total loss proceeds, in respect of the vessels which are not required to be applied under the terms of the transaction documents to repair any of the vessels; and (k) any requisition proceeds.
