The obligations on the part of the company to pay and discharge to the chargee that part of any prepayment costs as shall constitute the prepayment differential amount on the basis that the reference to the definition of prepayment differential amount below to "relevant payment date" means "enforcement date" meaning the earlier of the dates upon which an event of default under a finance contract ("the finance contract") dated 29TH april 1997 and made between the company and the chargee shall occur or the company shall have failed to comply with any of its obligations under the charge

By way of first fixed charge all its rights title and interest in the agreement set out below, the account set out below and any further account opened pursuant to the credit support deed described below. 1. the isda master agreement dated 29 april 1997 made between the company and morgan stanley capital services inc. ("Mscsi") together with the confirmation entered into pursuant thereto in respect of a nominal amount of £22,000,000 (amortising) for payments to be made to the company by mscsi to the extent that the floating rate of interest therein referred to from time to time exceeds 15% per annum..
