The company as a junior creditor under the intercreditor agreement has undertaken to the senior agent that so long as the senior subordination period is continuing if the borrower makes any payment in cash or in kind on account of or for the purchase or other acquisition of all or any part of the mezzanine liabilities or junior liabilities.
