The payment to the chargee of the second instalment (as defined in an agreement for sale dated 16 december 1999) and being £16,000,000 (subject to increase in accordance with the provisions of clause 12) payable in accordance with the provisions of clause 7.2 less any amounts due pursuant to clause 11.5 but unpaid,and the third instalment being £12,000,000 (subject to increase in accordance with clause 12) payable in accordance with the provisions of 7.3 less any amounts due pursuant to clause 11.5 but unpaid) pursuant to clause 7.2 and 7.3 of the agreement and all other sums ascertained and payable pursuant to the terms of the agreement
